BY DOWNLOADING THE CRIA APP (COLLECTIVELY, THE "APPS") OR BY ACCESSING, VIEWING, OR USING THE APPS, THE CRIA OR WEBSITE (THE "SITES") OR ANY TOOLS AND SERVICES PROVIDED IN CONNECTION WITH THE APPS OR THE SITES (COLLECTIVELY, THE APPS, THE SITES AND ALL RELATED TOOLS AND SERVICES ARE REFERRED TO AS THE "SERVICE"), YOU UNDERSTAND AND AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS CONTAINED IN THESE TERMS OF USE. IF YOU OBJECT TO ANYTHING IN THESE TERMS OF USE, OR OTHERWISE DO NOT UNDERSTAND OR AGREE TO BE BOUND BY THESE TERMS OF USE DO NOT USE THE SERVICE AND UNINSTALL THE APPS IMMEDIATELY.
These terms and conditions and end user license agreement (collectively, "Terms of Use") set forth the terms and conditions of Cria, LLC ("CRIA") applicable to your use of the Service. CRIA encourages you to read these Terms of Use carefully. For purposes of these Terms of Use, "CRIA" means and includes CRIA and its subsidiaries and its and their investors, officers, directors, employees, agents, representatives and assigns. "User" means each person who accesses or uses the Service, including but not limited to parents and caregivers, regardless of whether or not such User personally installed one or both of the Apps or created an account.
You understand and agree that CRIA may revise, modify and/or supplement these Terms of Use (the "Revised Terms of Use") at any time. Any Revised Terms of Use will be effective immediately after notice is sent to you via the CRIA internal email system or by such other forms of notice as may be determined by CRIA. If you do not agree to the Revised Terms of Use, you must stop using the Service and close your account (and uninstall the Apps). You can close your account through the Account Settings page. By continuing to use the Service following notice, or by failing to close your account or uninstall the Apps, you hereby expressly agree to be bound by the Revised Terms of Use.
Terms and Conditions
1. Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of the CRIA platform, website, mobile applications, and related services (collectively, the "Platform"), operated by CRIA, Inc. ("CRIA," "we," "us," or "our"). By accessing or using the Platform, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree, you must not use the Platform.
2. Privacy Policy
Please refer to the CRIA Privacy Policy for information on how CRIA collects, uses and discloses information about you.
3. License
Subject to the terms and conditions set forth in these Terms of Use, CRIA grants you a personal, nonexclusive, nontransferable license to use the Service and to download and use the Apps on any mobile device that you own or control, solely for your personal, noncommercial use except as expressly set forth herein.
The Service will be in the form and format as determined by CRIA in its sole discretion from time to time, and such form and format may limit or restrict use to certain types of devices at the exclusion of others, and may have additional licensing terms restricting their use thereto.
Such license does not include: (A) any resale or commercial use of the Service or CRIA Content; (B) modifying or making derivative uses of the Service or any CRIA Content; (C) use of any data mining, robots or similar data gathering or extraction methods; (D) reproducing, distributing, publicly performing or publicly displaying the Service or CRIA Content; (E) reverse engineering or otherwise attempting to discover any source code; or (F) any use of the Service other than for its intended purpose. This license is revocable at any time by CRIA.
4. Location Information; Consent to Use of Data and Mobile Communications
The Apps may implement a location feature whereby they will automatically collect your geolocation information if you provide your consent. CRIA may also use location information to provide information and advertising to Users. IF YOU WANT TO STOP THE AUTOMATIC COLLECTION OF YOUR LOCATION INFORMATION, YOU MAY DO SO BY USING THE PRIVACY SETTINGS IN THE APPS AND/OR ON YOUR DEVICE AND/OR BY UNINSTALLING THE APPS.
You also consent to CRIA communicating with you about the Service by SMS, text message, email or other electronic means. Your carrier's normal, messaging, data and other rates and fees will apply to these communications.
5. The Role of CRIA
a. The Service Offers a Venue. The Service merely offers tools, resources and a venue to connect those seeking care services with those seeking to provide care services. You understand and agree that CRIA: (A) does not employ, recommend or endorse any Users and has no control over the acts or omissions of any Users; (B) is not responsible or liable in any manner for the performance or conduct of any Users or other third parties online or offline; (C) makes no representations or warranties about the quality of the services provided by any User; and (D) does not screen Users or automatically conduct any kind of identity or background checks — users are solely responsible for running background checks.
b. CRIA LIMITED ROLE. CRIA is a technology platform that connects families with independent providers offering activities and classes for children. CRIA does not employ, endorse, or supervise providers, nor does it guarantee the quality, safety, or legality of their services. All activities, communications, and transactions between parents and providers occur directly between those parties. CRIA is not a party to any contractual agreement between a parent and a provider.
c. No Employment Relationship. Providers are independent contractors and are not employees, partners, agents, or representatives of CRIA. CRIA does not supervise, direct, or control Providers.
d. No Endorsement or Warranty. CRIA does not endorse, warrant, or guarantee any Provider, service, or activity listed on the Platform. All services are performed solely by Providers at their own risk and responsibility. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF THE SERVICE IS AT YOUR OWN RISK.
6. Transactions Are Between Users; Release
The Service may be used to help obtain or offer services provided by Users and to facilitate payment for such services. However, Users transact solely between themselves, and CRIA is not a party to any transactions between Users. CRIA hereby expressly disclaims, and you hereby expressly release CRIA and its affiliates from, any and all liability whatsoever for any controversies, claims, suits, injuries, loss, harm and/or damages arising from and/or in any way related to disputes, dealings, or interactions between you and any other Users or third parties.
7. Eligibility
a. Users: You represent and warrant that you are at least eighteen (18) years old; you comply with all applicable laws; you have the right and capacity to enter into these Terms of Use; and neither you, nor anyone in your home, has been convicted of a crime or required to register as a sex offender in any jurisdiction.
b. Children: Services on CRIA are designed for children but may only be booked and supervised by a parent or legal guardian. Children under the age of 18 may not create accounts.
c. Accuracy of Information. You agree to provide complete, current, and accurate information when creating an account, booking services, or otherwise using the Platform.
8. No Professional Advice; Information Only
Any information, materials, content and/or advice provided through the Service, whether by CRIA, Users or third parties, are for informational purposes only. If you have specific concerns or a situation arises requiring professional advice, you should consult with an appropriately trained and qualified professional. CRIA hereby expressly disclaims, and you hereby expressly release CRIA and its affiliates from, any and all liability whatsoever for any controversies, claims, suits, injuries, losses, harms and/or damages arising from and/or in any way related to the information, materials and content provided through the Service.
9. User Responsibility
a. You agree to use the Service in a manner that is lawful, relevant and proper. You understand and agree not to do any of the following in connection with the Service:
- Defame, abuse, harass, harm, stalk, threaten or otherwise violate the legal rights of others;
- Publish, post, upload, distribute or disseminate any profane, defamatory, infringing, hateful, obscene or unlawful topic, name, information, materials or content;
- Use the Service for any purpose that is in violation of local, state, national, or international law;
- Upload files that contain viruses, Trojan horses, worms, time bombs, or any other malware;
- Attempt to gain unauthorized access to the Service, other User accounts, or computer systems connected to the Service;
- Harvest or otherwise collect information about Users without their consent;
- Advertise or offer to sell any goods or services for any commercial purpose on the Service without authorization;
- Impersonate another person or allow any other person or entity to use your user name, password or membership;
- Post the same content repeatedly or spam — spamming is strictly prohibited;
- Reproduce, duplicate, copy, sell, re-sell or exploit any information, materials or content on the Service.
b. Assumption of Risk. You acknowledge and accept that participation in extracurricular activities may involve risks of injury, illness, or other harm. You assume all risks on behalf of your child or dependent.
10. Third-Party Services and Content
The Service may contain links or otherwise provide access to third-party products, services, websites, advertisers, applications, information, and content. You understand and agree that such Third-Party Services and Content are not provided by CRIA, and CRIA does not control or endorse and does not make any representations or warranties regarding such Third-Party Services and Content. USE OF SUCH THIRD-PARTY SERVICES AND CONTENT IS AT YOUR OWN RISK.
11. User Content
"User Content" is defined as any information, content, messages, photos, and/or materials a User posts on or through the Service. Users, not CRIA, are solely responsible for the User Content they post, submit or transmit through the Service. You represent and warrant that you are the owner or licensee or otherwise have the right to post or submit such User Content, and you grant to CRIA an irrevocable, perpetual, non-exclusive, fully paid, worldwide, sublicensable license to use, copy, perform, display, reproduce, adapt, modify, prepare derivative works of, and distribute such User Content.
12. Payment, Taxes and Refunds
a. All payments made through the CRIA platform are processed by Stripe, Inc. ("Stripe") through its Stripe Connect service. By using CRIA, you agree to be bound by Stripe's Terms of Service and Privacy Policy. CRIA does not collect, hold, or store payment card information.
b. Taxes. Each Provider is solely responsible for determining, collecting, and remitting any sales, use, or other taxes required by law in connection with the services they offer. CRIA does not calculate, collect, or remit taxes on behalf of Providers.
c. Refunds and Cancellations. Refunds, credits, and cancellations are governed by the Provider's policies and the applicable Stripe rules. CRIA does not issue refunds directly and is not responsible for any disputes between Users and Providers.
CRIA expressly disclaims all responsibility for:
- The performance or non-performance of Providers;
- The accuracy of Provider listings or schedules;
- Any injury, loss, or damages arising from activities booked through the platform.
13. Provider Verification and Documentation
CRIA does not conduct identity verification or criminal background checks on providers. Providers may, at their discretion, upload licenses, certifications, insurance documents, or other credentials to their profiles. These materials are not always verified or guaranteed by CRIA and are provided solely for informational purposes.
Parents and guardians are encouraged to:
- Request additional information or references directly from providers;
- Ask providers whether they have completed a background check and, if desired, request proof of one;
- Exercise personal judgment and take appropriate precautions before enrolling a child in any activity.
14. Provider Waivers and Additional Requirements
Some activity providers using the CRIA platform may require participants or their legal guardians to sign additional documents, such as liability waivers, consent forms, or policy acknowledgments. These documents are established and managed solely by the individual providers. CRIA is not a party to, nor responsible for, any such agreements, waivers, or additional requirements.
15. Off-Boarding and Policy Violations
CRIA reserves the right to remove or disable any user or provider account that:
- Receives repeated or severe complaints;
- Is suspected of fraudulent, unsafe, or inappropriate activity;
- Violates CRIA's Terms of Service or community standards.
Such actions may be taken at CRIA's sole discretion and without prior notice.
16. Indemnification
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS CRIA AND ITS AFFILIATES FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, LOSSES, EXPENSES, DAMAGES AND/OR LIABILITIES, INCLUDING REASONABLE ATTORNEYS' FEES AND COURT COSTS, INCURRED BY CRIA OR ITS AFFILIATES IN ANY WAY RELATED TO YOUR: (A) ACTS AND/OR OMISSIONS ONLINE AND OFFLINE; (B) BREACH OF THESE TERMS OF USE; (C) DISPUTES WITH OR BETWEEN OTHER USERS; (D) USE AND/OR MISUSE OF THE SERVICE; (E) VIOLATION OF ANY APPLICABLE LAW, RULE OR REGULATION; (F) INACCURATE, UNTIMELY, INCOMPLETE OR MISLEADING USER CONTENT; AND/OR (G) MISSTATEMENTS AND/OR MISREPRESENTATIONS.
17. Release
IF PERMITTED BY LAW, YOU ALSO AGREE TO RELEASE CRIA AND ITS AFFILIATES FROM ANY AND ALL LIABILITY WHATSOEVER FOR ANY CONTROVERSIES, CLAIMS, SUITS, INJURIES, LOSS, HARM OR DAMAGES ARISING FROM OR IN ANY WAY RELATED TO USERS' OR PROVIDERS' USE OF THE SERVICE, OR CRIA'S OWN ACTS, INCLUDING WITHOUT LIMITATION ANY NEGLIGENCE RELATING TO:
- Any inaccuracy, untimeliness or incompleteness of a User's Eligibility Conditions;
- Any misstatements or misrepresentations made by any Users;
- CRIA Content and any other information, materials and content obtained through use of the Service;
- Third-Party Services and Content;
- User Content, including without limitation any acts of or reliance upon other Users.
This release does not include claims, suits, injuries, loss, harm or damages arising from CRIA's gross negligence or willful tortious conduct.
18. Intellectual Property
All content, trademarks, software, and materials on the Platform are the property of CRIA or its licensors. You may not reproduce, distribute, or exploit CRIA content without prior written consent.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CRIA, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SERVICE.
IN NO EVENT SHALL CRIA, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO CRIA HEREUNDER OR $100.00, WHICHEVER IS GREATER.
20. Modifications
CRIA reserves the right to modify these Terms at any time. Changes will be effective when posted on the Platform. Your continued use after modifications constitutes acceptance.
21. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
22. Miscellaneous
- Entire Agreement. These Terms constitute the entire agreement between you and CRIA.
- Severability. If any provision is found invalid, the remainder shall remain enforceable.
- Waiver. Failure to enforce any provision is not a waiver of rights. The Service is controlled and operated from facilities in the United States.
23. Venue
Users and Providers submit to the exclusive jurisdiction and venue of the State and Federal courts in Broward County, Florida.
24. Arbitration Agreement; Waiver of Jury Trial and Class Actions
To the fullest extent permitted by law, you and CRIA agree that any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies.
Arbitration shall be administered by a nationally recognized arbitration provider in accordance with its applicable rules. The arbitration shall take place in Miami-Dade County, Florida, unless the parties agree otherwise.
YOU AND CRIA HEREBY WAIVE ANY CONSTITUTIONAL OR STATUTORY RIGHT TO A JURY TRIAL IN ANY PROCEEDING RELATED TO ANY DISPUTE.
To the fullest extent permitted by law, all Disputes must be brought in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
25. Good-Faith Use of the Platform and Non-Circumvention
Parents and users agree to act in good faith when using the platform. For any providers discovered, introduced, or booked through the platform, the Parent agrees:
- No Off-Platform Booking. The Parent will not directly or indirectly arrange, request, or complete bookings, payments, or services with providers outside of the platform when the connection was made through the platform.
- Platform Reservations and Payments. All class reservations, scheduling, and payments with providers discovered through the platform must be completed through the platform.
- Respect for Platform Fees. The Parent acknowledges that the platform supports discovery, scheduling, and coordination of activities, and agrees not to take actions intended to bypass the platform or avoid applicable fees.
- Good-Faith Commitment. The Parent agrees not to encourage providers to conduct services outside of the platform for activities that originated through the platform.
- Violation. Violation of this provision may result in suspension or termination of the Parent's account and restriction of access to the platform.
